“CORPORATE GOVERNANCE, INFORMATION AND CONTROL IN AN EVOLUTIONARY CONTEXT”

 Faculty of Economics

University of Naples “Federico II”

Naples 3rd & 4th April 2009

CONFERENCE PRESENTATION
The Conference is addressed to young and emerging scholars actively engaged in the field of Corporate Governance. We encourage submission of papers with different theoretical backgrounds (i. e. accounting, finance, organization, management, strategy) and settings of interest (i.e. Public companies, State-Owned enterprises, Family firms, Public administration, Small & Medium sized companies, Cooperatives, Districts).

CONTENT
Good Corporate Governance helps firms to develop quickly and gain a considerable competitive advantage. Despite this widespread belief, during the last years unexpected corporate failures (i.e. Enron, Parmalat) have put corporate governance under greater scrutiny. An increasing debate among researchers, policy-makers and firms witnesses a growing concern about corporate governance from different perspectives.
Previous literature about corporate governance focused – almost exclusively - on large companies with a dispersed ownership. Small companies, entrepreneurial, not-for profit and State-owned enterprises have been quite ignored and they still require alternative theoretical approaches in order to be fully understood. Moreover, the dominance of Agency theory in the governance field has been complemented by other theoretical frameworks (Stewardship, Stakeholder, Behavioural, etc.).
Within an evolutionary context it is a timely contribution to analyse which are the main issues emerging within the corporate governance domain: what is the impact of the different governance mechanisms on firm performance and development? How to design “good” fit between ownership, governance, strategy and organizational structure? What is the main role of financial reporting for large listed companies compared to small or family firms? How do control mechanisms affect organizational practices?

In particular we encourage the submission of theoretical and empirical papers aiming at analyzing the field of management and governance from accounting, strategy, organization, finance and economics perspectives on the following subjects:
•    Codes of Corporate Governance and Regulation;
•    Board of Directors and Top Management Teams;
•    Auditing;
•    Role of financial reporting;
•    Entrepreneurial, High-growth and Venture Backed Firms, IPOs;
•    Family firms, family office, generational transition;
•    CSR and Corporate Governance;
•    Governance in Public Administration;
•    Governance in Banks and Financial Institutions;
•    Theories of corporate governance;
•    Power and control in organizational structures.
